Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CDNsync, Inc. ("CDNsync," "we," "us," or "our"), governing your use of the CDNsync platform, website, and all related services (collectively, the "Service"). By accessing, registering for, or using CDNsync, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must not use the Service.
These Terms may be updated from time to time at our sole discretion. We will notify you of material changes by updating the "Last updated" date and posting the revised Terms on our website. Your continued use of the Service following such notification constitutes your acceptance of the revised Terms. If you object to any change, your only recourse is to discontinue use of the Service.
Description of Service
CDNsync is a cloud-based, multi-cloud Content Delivery Network (CDN) synchronization platform that enables users to manage, monitor, and synchronize CDN configurations across multiple providers simultaneously. The Service includes but is not limited to:
- Multi-CDN dashboard and management interface.
- Configuration synchronization tools for major CDN providers (Cloudflare, AWS CloudFront, Azure CDN, Fastly, and others).
- Analytics and performance monitoring across distributed CDN deployments.
- API access for programmatic control and integration.
- Command-line interface (CLI) for infrastructure-as-code workflows.
- Customer support and documentation.
The Service is provided "as-is" and is subject to continuous development. We reserve the right to modify, suspend, or discontinue features or the Service itself at any time, with or without notice, though we will endeavor to provide reasonable notice for significant changes.
Account Registration
To use CDNsync, you must create an account by providing accurate, complete, and current information, including your name, email address, and other required details. You are responsible for maintaining the confidentiality of your account credentials and are fully liable for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
You must be at least 18 years of age (or the age of majority in your jurisdiction) to register for an account. By registering, you represent and warrant that you have the legal capacity to enter into this agreement. You may not register on behalf of another person without their explicit consent, nor may you register multiple accounts to circumvent restrictions or terms.
We reserve the right to refuse registration or terminate accounts that violate these Terms or are associated with fraudulent, harmful, or illegal activity.
Acceptable Use
You agree to use CDNsync only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms. You specifically agree not to:
- Engage in illegal activities or facilitate the distribution of illegal content.
- Create, distribute, or transmit malware, viruses, worms, ransomware, or other malicious code.
- Violate intellectual property rights, including reproducing, distributing, or publicly performing copyrighted material without authorization.
- Harass, threaten, defame, or discriminate against any individual or group based on protected characteristics.
- Attempt to gain unauthorized access to our systems, networks, or accounts through hacking, brute force, or other means.
- Perform penetration testing, security scanning, or vulnerability assessment without explicit written authorization.
- Spam, phish, or engage in social engineering attacks.
- Interfere with or disrupt the Service, servers, or networks connected to CDNsync.
- Reverse engineer, decompile, or attempt to derive the source code of our platform.
- Scrape, crawl, or automatically extract data from our Service in violation of our scraping policy.
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.
- Resell, redistribute, or provide the Service as a white-label solution without explicit authorization.
Violation of acceptable use policies may result in immediate account suspension or termination without refund. We may also pursue legal action to recover damages.
CDN Provider Credentials
To enable multi-cloud synchronization, you will connect your CDN provider accounts to CDNsync by providing API keys, tokens, or other credentials. You are solely responsible for:
- The accuracy, completeness, and validity of the credentials you provide.
- Managing and rotating your CDN provider credentials and keeping them confidential.
- Ensuring you have authority to grant CDNsync access to your CDN provider accounts.
- Monitoring CDN provider accounts for unauthorized or unexpected activity.
CDNsync implements industry-standard encryption to protect your credentials at rest and in transit. However, we do not store unencrypted credentials and recommend enabling multi-factor authentication (MFA) on your CDN provider accounts as an additional security measure. We are not liable for unauthorized access to your CDN accounts resulting from your failure to secure your credentials or enable available security features.
You authorize CDNsync to use your credentials solely to perform the synchronization and management functions you have requested. We will not use your credentials for any other purpose, including monitoring your CDN traffic or accessing your actual content in transit.
Subscription and Payment
CDNsync offers various subscription plans with different features and pricing. Subscription details, including price, billing cycle, and feature limits, are clearly displayed at the time of purchase and in your account settings.
- Free Tier: Limited functionality, free of charge, available to all users.
- Paid Plans: Monthly or annual billing cycles at the selected plan rate.
- Enterprise Plans: Custom terms negotiated directly with CDNsync sales.
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes related to your subscription. Payment must be made in advance of each billing cycle via the payment methods we accept (credit card, wire transfer for enterprise plans, etc.). Billing will be charged to the payment method on file on the first day of each billing cycle.
We reserve the right to modify pricing with 30 days' notice. Price changes take effect on your next billing renewal. If you object to a price change, you may cancel your subscription prior to the effective date of the change.
Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle; you will retain access to paid features until that date. We do not provide refunds for partial billing cycles or prorated amounts.
Refunds may be granted at our sole discretion for billing errors or duplicate charges. Such refunds, if issued, will be credited to your original payment method within 10 business days. We do not offer refunds for subscription cancellations, unused features, or optional add-ons unless required by applicable law.
Upon cancellation, your account data (configurations, historical data, and metadata) will be retained for 90 days. After this retention period, all account data will be permanently deleted and cannot be recovered. If you wish to preserve your data, you should export it before cancellation.
Intellectual Property
CDNsync and all its components, including software, documentation, design, graphics, logos, and content, are owned by CDNsync or our licensors and are protected by international copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your lawful business purposes in accordance with these Terms. This license does not permit you to:
- Reproduce, modify, or create derivative works.
- Reverse engineer, decompile, or attempt to derive source code.
- Remove copyright, trademark, or other proprietary notices.
- Resell, redistribute, or provide access to unauthorized parties.
- Use the Service to create competing products or services.
You retain ownership of any data you upload or create through the Service ("Your Content"). By uploading Your Content, you grant CDNsync a limited, non-exclusive license to store, process, and transmit Your Content solely to provide the Service and as necessary to comply with law. You are responsible for ensuring that Your Content does not infringe third-party intellectual property rights.
Confidentiality
During your use of CDNsync, you may access our confidential information, including technical specifications, architecture, pricing, customer lists, and proprietary processes. You agree to maintain the confidentiality of this information and not disclose it to third parties without our prior written consent, except:
- To your employees, contractors, and advisors who have a legitimate need to know and who are bound by confidentiality obligations.
- As required by law or court order, provided you give us prompt notice to allow us to seek protective measures.
Confidentiality obligations do not apply to information that is already public, independently developed, or received from a third party without confidentiality obligations. Your obligations survive termination of these Terms for a period of three (3) years.
Disclaimers and Limitation of Liability
DISCLAIMER OF WARRANTIES: The Service is provided "AS-IS" and "AS-AVAILABLE" without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and title. We do not warrant that the Service will be error-free, uninterrupted, secure, or free from viruses or malicious code.
SERVICE AVAILABILITY: While we strive to maintain high availability (typically 99.5% uptime as detailed in our Service Level Agreement), we do not guarantee uninterrupted access. Scheduled maintenance, emergency repairs, and force majeure events may result in temporary unavailability. We will provide notice of planned maintenance when possible.
LIMITATION OF LIABILITY: To the maximum extent permitted by law, CDNsync's total liability arising from or related to this agreement or the Service shall not exceed the total fees you paid in the 12 months preceding the claim. In no event shall CDNsync be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
EXCLUSIONS: These limitations do not apply to (i) violations of intellectual property rights, (ii) confidentiality breaches, (iii) indemnification obligations, or (iv) to the extent such limitations are prohibited by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless CDNsync, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms.
- Your violation of applicable laws or third-party rights.
- Your Content, including any infringement claims.
- Your CDN provider credentials or configurations.
- Any claim that your use of the Service damages a third party.
We will provide notice of any such claim and cooperate with you in its defense. You shall not settle any claim without our prior written consent.
Termination
Either party may terminate these Terms and your account at any time for any reason, or for no reason, with written notice. Upon termination:
- Your right to use the Service ceases immediately.
- Any outstanding payment obligations remain due.
- Confidentiality and indemnification obligations survive termination.
- Your account data will be retained for 90 days before permanent deletion.
We may terminate or suspend your account immediately without notice if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a security risk.
Governing Law
These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
You agree to submit to the exclusive jurisdiction of the courts located in Berlin, Germany, for the resolution of any disputes arising from these Terms or the Service. You waive any objection to venue or inconvenient forum.
Changes to Terms
We may revise these Terms at any time by updating this page and modifying the "Last updated" date. Material changes will be communicated via email or prominent notice on our website. Your continued use of the Service after such notification constitutes acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Service.
